Terms of Service

1. About these terms

These Terms of Service govern your engagement with TelosFlow. By engaging our services, you agree to these terms.

2. Services we provide

TelosFlow designs, builds, and deploys two main types of solutions:

• Custom AI chatbots. Intelligent conversational assistants for support, lead qualification, FAQs, and internal tools.
• Process automation. Automated workflows connecting your business tools (CRM, email, reporting, notifications, etc.).

The exact scope of your project is defined in a written quote following our discovery call.

3. Discovery and quote

Every engagement starts with a free 30-minute discovery call. Within 48 hours of that call, you receive a tailored quote outlining:

• The scope of work
• The setup fee and the monthly subscription
• The timeline
• The deliverables

No work begins until you formally approve the quote. Quotes are valid for 30 days.

4. Pricing and payment

Pricing is custom for each project and disclosed in the quote. Engagements typically include:

• A one-time setup fee, payable at project kick-off, covering the design and build of your automation.
• A monthly subscription covering monitoring, support, hosting, and continuous optimisation.

The monthly subscription is billed at the beginning of each month. Invoices are due within 14 days of issue. Late payments may incur statutory interest as defined by Maltese commercial law.

5. Timeline and delivery

Most projects are delivered within 30 days of approval, with simple chatbots typically going live in 1-2 weeks and complex multi-tool automations in 3-4 weeks. The exact timeline is specified in your quote.

Delays caused by missing client input (data, access credentials, approvals) are not our responsibility and do not extend our delivery commitment.

6. Ownership of your automations

Upon full payment of the setup fee, you own your automations entirely. They are built on open standards, which means:

• You can host them on any server you choose
• You are not locked in to TelosFlow in any way

Source code, configuration files, and documentation are handed over upon final payment.

7. Monthly subscription

The monthly subscription includes:

• 24/7 monitoring of your automations
• Unlimited support. Bug fixes and minor adjustments at no extra cost.
• Continuous optimisation as your business evolves
• Hosting and maintenance of the underlying infrastructure

You can cancel the subscription at any time with 30 days' written notice. After cancellation, your automations continue to run on your own infrastructure (you own them) but TelosFlow is no longer responsible for their maintenance.

8. Confidentiality

Any business information, data, or credentials you share with us during the engagement is treated as strictly confidential. We do not share it with third parties, do not use it for any purpose other than your project, and securely delete it upon project completion or your request.

9. Liability

We commit to delivering high-quality, tested, and documented automations. However, our liability is limited to the total amount paid by you for the specific project in question.

We are not liable for:

• Indirect or consequential damages (loss of revenue, data, opportunity, etc.)
• Failures caused by third-party services we integrate with (OpenAI, Anthropic, Google, Meta, etc.)
• Misuse of the automations by you or your team after handover

10. Third-party services

Our automations may rely on third-party services (such as messaging platforms, payment providers, calendar tools, CRMs, etc.). You are responsible for maintaining valid accounts, API keys, and subscriptions for these services. Their pricing, terms, and availability are governed by their respective providers.

11. Intellectual property

While you own the final automations, any pre-existing tools, frameworks, or code components created by TelosFlow before your engagement remain our property. Your project receives a perpetual licence to use them as part of your delivered solution.

12. Termination

Either party may terminate the engagement at any time. In case of termination by you before delivery, you are liable for the work completed up to that point. In case of termination by us, we will deliver all completed work and refund any unused portion of pre-paid fees.

13. Governing law and disputes

These terms are governed by Maltese law. Any dispute that cannot be resolved amicably will be submitted to the competent courts of Malta.

14. Changes to these terms

We may update these terms occasionally. Material changes affecting active clients will be communicated by email at least 30 days in advance.
